1. Introduction

These terms and conditions ("Terms") govern your use of the Proddle website, services, and software ("Service"). By registering for, accessing, or using the Service, you (the "User") agree to be bound by these Terms. If you are using the Service on behalf of an organization, you agree to these Terms for that organization and promise that you have the authority to bind that organization to these Terms.

In these Terms, the following definitions apply for clarity:

  • "Service" refers to the HR software solutions and related services provided by Proddle.
  • "User" or "You" means any individual or entity that accesses or uses the Service.
  • "Content" means any data, information, material, or work that you submit, upload, transmit, or display on or through the Service.

3. Use of Service

  • Proddle grants you a limited, non-exclusive, non-transferable, and revocable license to use the Service solely for your internal business operations and in accordance with these Terms.
  • You agree not to use the Service for any purpose that is unlawful or prohibited by these Terms.
  • You are responsible for all activities that occur under your account and for ensuring that all usage of the Service complies with these Terms.

4. User Responsibilities

  • You are responsible for maintaining the confidentiality and security of your account information, including usernames and passwords.
  • You agree to provide accurate, current, and complete information as required for the use of the Service and to maintain and promptly update this information to keep it accurate, current, and complete.
  • You must ensure that all Content provided by you does not infringe upon the rights of others, and is not harmful, illegal, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, or otherwise objectionable.

5. Intellectual Property

  • All intellectual property rights in the Service, including but not limited to software, documentation, text, graphics, logos, and service marks, are owned by Proddle or its licensors.
  • You agree not to copy, modify, create derivative works of, reverse engineer, reverse assemble, disassemble, or decompile the Service or any part thereof or otherwise attempt to discover any source code or use any automated system or software to extract data from the Service.

6. Privacy and Data Protection

  • Proddle is committed to protecting the privacy and security of your personal information. Our use of your personal information is governed by our Privacy Policy.
  • You agree to comply with all applicable data protection laws and regulations in relation to your use of the Service and with respect to any personal data processed by you through the Service.

7. Warranties and Disclaimers

  • Proddle provides the Service "as is" and makes no representations or warranties of any kind, whether express, implied, statutory, or otherwise, including, without limitation, warranties of merchantability, fitness for a particular purpose, or non-infringement.
  • We do not guarantee that the Service will function without interruption or errors. In particular, the Service may be temporarily unavailable for scheduled maintenance or for unscheduled emergency maintenance.

8. Limitation of Liability

  • In no event will Proddle's aggregate liability, for any and all claims arising out of or in connection with these Terms and your use of the Service, exceed the amount paid by you to Proddle during the twelve (12) months immediately preceding the claim.
  • Proddle shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, goodwill, or other intangible losses.

9. Termination

  • These Terms are effective until terminated by either you or Proddle.
  • Proddle reserves the right, at its sole discretion, to terminate your access to all or part of the Service, with or without notice, for any reason, including, without limitation, if Proddle believes that you have violated or acted inconsistently with the letter or spirit of these Terms.

10. General Provisions

  • These Terms constitute the entire agreement between you and Proddle and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and Proddle with respect to the Service.
  • If any provision of these Terms is held to be invalid or unenforceable, that provision will be struck and the remaining provisions will remain in full force and effect.

11. Governing Law

  • These Terms and any action related thereto will be governed by the laws of the jurisdiction in which Proddle is located, without regard to or application of its conflict of law provisions.

12. Changes to Terms

  • Proddle reserves the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on the Proddle website or through other communications. Your continued use of the Service after the date any such changes become effective constitutes your acceptance of the new Terms.
